Terms and Conditions of Service

Welcome to initIA. These Terms of Service ('Terms') govern your use of our AI agent development and automation services ('Services') provided by initIA ('we', 'us', or 'our').

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

northnode OÜ, through its initIA product, provides automation services for repetitive tasks through the configuration of intelligent agents (the 'Agent') that operate via messaging platforms such as WhatsApp or Telegram, among other channels.

Depending on the contracted plan, the Agent may:

• Answer frequently asked questions about services, schedules, and prices

• Communicate closures or availability

• Automate out-of-hours messages

• (Optional) Integrate with external booking, payment, or CRM systems if expressly agreed upon

To use our services, you must:

• Have a registered company or legally constituted commercial activity

• Provide accurate and updated information about your business

• Maintain an active communication channel (WhatsApp Business number, Telegram account, etc.)

• Designate a contact person for channel management and coordination with initIA

The Client is responsible for:

• Providing accurate, truthful, and updated content (schedules, prices, services, promotional messages, etc.)

• Communicating any changes with at least 48 hours' notice

• Reviewing the Agent's operation after installation

• Verifying that automated information complies with sector regulations

northnode OÜ is not responsible for errors, omissions, or damages arising from incorrect or outdated information provided by the Client.

Unless otherwise agreed in writing, the service includes:

• Initial Agent configuration according to received briefing

• Access to Agent use during contract validity

• Maintenance and support via email or WhatsApp during business hours

• Limited license to use initIA's automation system

The Client agrees to pay the amount corresponding to the contracted plan, which may include:

• An initial configuration fee

• A monthly maintenance and usage fee

Prices will be indicated before contracting and will be invoiced with corresponding VAT.

Non-payment or payment delay may result in temporary service suspension.

The Client retains ownership of the content they provide.

Northnode OÜ retains all rights to the technology, conversational flows, and configurations used.

The use of the Agent is granted under a limited, non-exclusive, and non-transferable license, valid only while the service is active.

Northnode OÜ complies with the General Data Protection Regulation (GDPR).

Northnode OÜ will act as Data Processor if accessing personal data from your users.

When necessary, Northnode OÜ will make available to the Client a Data Processing Agreement (DPA).

Both parties commit to maintaining confidential any technical, commercial, or strategic information shared during service provision.

Northnode OÜ does not guarantee continuous operation of external platforms such as WhatsApp, Telegram, or other third-party tools.

Northnode OÜ will not be responsible for indirect damages, loss of income, or problems caused by service misuse.

Northnode OÜ's maximum liability for any claim will be limited to the amount paid by the Client in the 3 months prior to the causative event.

The Client may cancel the service at any time with 15 calendar days' notice.

Northnode OÜ may suspend or cancel the service in case of non-payment, misuse, or breach of these Terms.

Access to the Agent and its functionalities will be deactivated after contract termination.

This agreement is governed by Estonian law.

In case of conflict, both parties expressly submit to the Courts and Tribunals of Tallinn, Estonia.
